Biosearch valued 21.09 euros per share from Versicor
March 14th, 2010The operation Versicor Biosearch configures itself as an acquisition of the first against the second, which will be acquired through a capital increase from 260.7 million dollars spent. Subsequently the two companies are merging and the new entity, provisionally called Versicor, will be owned 55% by the shareholders Americans and the rest from the Italians. Due diligence has enhanced Biosearch $ 21.43, equivalent to 21.09 euros in the session taken as reference. Italian company’s shareholders will get 1.77 shares Versicor each action Biosearch. The transaction, approved by their board, must pass the scrutiny of the meetings, which should conclude the work in the first quarter of 2003. The new company will benefit from dual listing, and the Nasdaq is the New Market, but the non-authorization of the Italian price is a condition precedent to the transaction, as well as the withdrawal of a shareholder of Biosearch. The new Board Board of Directors will be chaired by James H. Cavanaugh, one of the four members of the Board of Directors of Versicor that, along with four members of the Board of Directors of Biosearch, will form the board of the new società.George F. Horner III, current CEO of Versicor, will maintain the same position while Claudio Quarta, to present Biosearch of Italy, will become general manager of the new company. Francesco Parenti is Chief Scientific Officer, with overall responsibility for the discovery and preclinical development. Richard White, currently Chief Scientific Officer of Versicor, will continue as Chief Scientific Officer for North America. “Versicor shall cooperate with the Biosearch 1998 and after four years of collaboration we are confident that our two corporate cultures can marry perfectly and that combining the companies can more effectively achieve our common goal of launching new antibacterial and antifungal agents on the market” have indicated American society.
